These Terms and Conditions (“Terms”) govern your access to and use of the services provided by Ark Solutions AI LLC, operating as “Ark One” (“we,” “us,” or “our”), including our website at arksolutionsai.com, software platform, and any associated communications.

By accessing or using our services, you agree to be bound by these Terms. If you do not agree, do not use our services.

1. Services

Ark Solutions AI LLC provides a white-label CRM and marketing automation platform for HVAC businesses and similar service industries. Our core offerings include AI reception (inbound call handling), appointment scheduling, lead nurturing, SMS and email automation, and related workflow tools, powered by the GoHighLevel platform.

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time with reasonable notice.

2. Eligibility

You must be at least 18 years of age and have the legal authority to enter into a binding agreement on behalf of yourself or your business to use our services. By using our services, you represent and warrant that you meet these requirements.

3. Account Registration and Client Onboarding

To access our services, you will complete an onboarding process that may include providing business information, contact details, and payment information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You agree to provide accurate and complete information during registration and to promptly update any information that changes.

4. SMS Communications and Consent

By completing our onboarding form or otherwise opting in, you consent to receive SMS messages from us related to your account, including appointment reminders, scheduling links, service updates, and promotional offers.

We do not share your SMS consent or phone number with third parties for marketing purposes.

5. Fees and Payment

Our services are offered on a subscription basis. Fees are billed on a monthly cycle as agreed upon during onboarding. All fees are non-refundable unless otherwise stated in a separate written agreement.

We reserve the right to suspend access to services if payment is not received within the applicable grace period. Pricing may be updated with 30 days’ written notice.

6. Acceptable Use

You agree to use our services only for lawful purposes and in accordance with these Terms. You shall not:

• Use our platform to send unsolicited commercial messages or spam
• Violate any applicable federal, state, or local law, including TCPA, CAN-SPAM, and applicable FCC regulations
• Interfere with or disrupt the integrity or performance of our services
• Attempt to gain unauthorized access to any part of our systems
• Use our services to harass, abuse, or harm any individual
• Misrepresent your identity or affiliation in any communications sent through our platform

7. Client Responsibilities

As a client using our platform to communicate with your own customers, you are solely responsible for:

• Obtaining all required consents from your customers prior to sending SMS or email messages
• Ensuring your messaging content complies with CTIA Messaging Principles, TCPA, and any other applicable regulations
• Maintaining accurate opt-in and opt-out records for your own contacts
• The accuracy and legality of any content sent through your sub-account

8. Intellectual Property

All content, software, branding, and materials provided by Ark Solutions AI LLC in connection with our services are the exclusive property of Ark Solutions AI LLC or its licensors and are protected by applicable intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from our materials without prior written permission.

You retain ownership of any content or data you provide through our platform. By providing such content, you grant us a limited license to use it solely for the purpose of delivering our services to you.

Both parties agree to keep confidential any proprietary or sensitive information disclosed during the course of our business relationship, including pricing, technical systems, client data, and business strategies. This obligation survives termination of these Terms.

To the fullest extent permitted by applicable law, Ark Solutions AI LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of or in connection with your use of our services, even if we have been advised of the possibility of such damages.

Our total liability for any claim arising under these Terms shall not exceed the total fees paid by you to us in the three (3) months preceding the event giving rise to the claim.

You agree to indemnify, defend, and hold harmless Ark Solutions AI LLC and its members, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of our services, your violation of these Terms, or your violation of any applicable law or third-party rights.

13. Term and Termination

These Terms remain in effect for as long as you use our services. Either party may terminate the relationship with 30 days’ written notice. We reserve the right to terminate or suspend your access immediately if you breach these Terms or engage in conduct that we determine, in our sole discretion, to be harmful or unlawful.

Upon termination, you remain responsible for any outstanding fees. Sections relating to intellectual property, confidentiality, disclaimers, limitation of liability, and indemnification survive termination.

14. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Utah, without regard to its conflict of law provisions. Any dispute arising under these Terms shall be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to binding arbitration in Utah under the rules of the American Arbitration Association, unless both parties agree otherwise in writing.

15. Changes to These Terms

We may update these Terms from time to time. When changes are made, we will update the effective date at the top of this document. Continued use of our services after updated Terms are posted constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.
